Gift Cards & Store Credit: Gift cards and store credit issued by Parc Decor are to be treated like cash within our store. They are not redeemable for cash or credit (except where required by law) and will not be replaced if lost or stolen. Gift cards and store credits are valid only for purchases made in the same currency in which they were issued, and may be subject to additional terms stated at the time of issuance. Treat your gift cards and store credits securely; we are not responsible for any unauthorized use or theft of these items.

 

6. Billing & Account Information

 

We reserve the right to refuse, limit or cancel any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, or orders that use the same billing or shipping address. In the event we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. Parc Decor’s total cumulative liability to you for any direct damages shall be limited to the amount actually paid by you to us for the product or service that gave rise to the claim.

You agree to indemnify, defend, and hold harmless Parc Decor and its parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, from and against any claim, demand, lawsuit, proceeding, liability, loss, damage, cost, or expense (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the site or Service; (b) your breach of any provision of these Terms or any policy they incorporate by reference; (c) your violation of any law or the rights of a third party; or (d) any User Content or Feedback you provide. We reserve the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claim. You agree not to settle any such matter without the prior written consent of Parc Decor. This indemnification obligation will survive the termination of these Terms and your use of the Service.

 

15. Severability

 

In the event that any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. Such a determination shall not affect the validity and enforceability of any other remaining provisions. If any provision is held unlawful or unenforceable in a particular jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if that is not possible, eliminated, and shall not affect the validity of the remaining provisions or the enforceability of that provision in any other jurisdiction.

 

16. Termination

 

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use our Services and by discontinuing any further use of our site. We may terminate or suspend this agreement (and/or your access to the Service) at any time without notice if, in our sole judgment, you fail to comply with any term or provision of these Terms, or if we suspect that you have violated these Terms or any applicable law. We may also do so for our convenience if we decide to discontinue the site or Service. Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party. The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms. No waiver by us of any breach or default of these Terms shall be deemed a waiver of any preceding or subsequent breach or default.

If we fail to exercise or enforce any right or provision of these Terms, it shall not constitute a waiver of such right or provision on our part. You acknowledge that you have not relied on any representation, inducement, promise, or agreement that is not expressly stated in these Terms.

 

18. Mobile Messaging Terms

 

By subscribing to Parc Decor’s text messaging service (for example, by providing your phone number and opting in to receive SMS or MMS messages), you consent to receive recurring promotional or informational text (SMS) messages from and on behalf of Parc Decor at the telephone number you provided. These messages may be sent using an automatic telephone dialing system or other technology. Consent to receive text messages is not a condition of any purchase. Message and data rates may apply depending on your mobile carrier and plan. Message frequency may vary (for example, we may send you updates about your order, promotional offers, or new product announcements).

You can opt-out of receiving text messages at any time. To stop receiving messages, reply STOP to any Parc Decor message (or follow any other instructions provided to opt out). You may receive a one-time confirmation text acknowledging your opt-out. If you need help or have questions regarding our text messaging, reply HELP or contact our customer support. We will make reasonable efforts to address your inquiry.

Carriers are not liable for delayed or undelivered messages. We are not responsible for any delays or failures in the receipt of any SMS messages, as delivery is subject to effective transmission by your network operator and other factors outside of our control. By subscribing to our text messages, you also agree to our Privacy Policy in relation to how we collect and process your personal information for messaging.

 

19. Dispute Resolution & Governing Law

 

We hope to resolve any issues or concerns you may have through our customer service team. However, if a dispute does arise between you and Parc Decor, the following terms will apply:

  • Informal Resolution: Before initiating any formal dispute process, you agree to contact us and attempt to resolve the dispute informally. Both you and Parc Decor agree to engage in good-faith negotiations to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Service within 30 days from when notice of the dispute is given. If the dispute is not resolved within 30 days, either party may proceed to seek resolution through arbitration as outlined below.

  • Arbitration: Any dispute or claim (except those excluded below) that cannot be resolved informally shall be resolved by binding arbitration on an individual basis. The arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, where applicable, its Supplementary Procedures for Consumer-Related Disputes. The arbitration will take place in the Commonwealth of Pennsylvania, USA, or another mutually agreed location, and will be conducted in English. YOU UNDERSTAND AND AGREE THAT, BY AGREEING TO ARBITRATION, YOU AND PARC DECOR ARE EACH WAIVING THE RIGHT TO SUE IN COURT (except as provided below) and the right to a trial by jury. The arbitrator’s decision shall be final and binding and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

  • Class Action and Jury Trial Waiver: You and Parc Decor agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis. Neither you nor Parc Decor will seek to have any dispute heard as a class action, representative action, collective action, or private attorney general action. We both waive any right to a jury trial. This means: (1) You are giving up your right to have any dispute decided by a judge or jury in a court of law; (2) You are giving up your right to participate in a class action or other collective proceeding against us, whether as a class representative or member. No arbitration or proceeding will be combined with another without the prior written consent of all parties to all affected arbitrations or proceedings.

  • Governing Law: These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict of law principles. This governing law will apply to any disputes or claims arising out of or relating to these Terms or your use of the site, except to the extent otherwise required by the law of your jurisdiction (for example, if you are a consumer in a jurisdiction with mandatory consumer protection laws that override this governing law clause).

  • Court Venue (If Applicable): In the unlikely event that a dispute is found not to be subject to the arbitration agreement above (for example, if a court rules that the arbitration clause is unenforceable or not applicable to your particular claim), then any such non-arbitrable dispute shall be resolved exclusively in the state or federal courts located within the State of Pennsylvania, USA. You and Parc Decor consent to the exercise of personal jurisdiction by and venue in such courts for the purpose of litigating any such claim or dispute.

  • Exceptions and Opt-Out: Exceptions to Arbitration – Notwithstanding the above, either party may seek relief in a small claims court for disputes or claims within the scope of that court’s jurisdiction. In addition, claims involving allegations of intellectual property infringement or misuse (such as trademark, trade secret, copyright, or patent claims) may be brought directly in court rather than through arbitration. 30-Day Right to Opt Out – You have the right to opt out of the binding arbitration and class action waiver provisions in this Section 19 by sending written notice of your decision to opt out to legal@parcdecor.com within 30 days of first accepting these Terms (your first use of the site will constitute acceptance of these Terms). If you opt out of this arbitration agreement, you are still bound by the remaining Terms.

  • Limitation on Time to File Claims: To the extent permitted by applicable law, any claim or cause of action arising out of or related to your use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose; otherwise, it is permanently barred. This limitation period applies regardless of any statute of limitations or law to the contrary, unless a longer period is required by non-waivable law.

 

Notice to International Users: We sell our products worldwide, and we recognize that you may be accessing our site from a jurisdiction with different laws. These Terms are intended to be enforced to the fullest extent permitted by law, and if any provision of this Section 19 is found to be unenforceable or inapplicable, the remaining provisions shall still remain in effect.

Parc Decor shall not be liable for any delay or failure to perform any obligation under these Terms if the delay or failure is due to causes beyond our reasonable control. This includes, but is not limited to, acts of God (e.g., fire, flood, earthquake, storm, hurricane, or other natural disaster), war, invasion, acts of terrorism, hostilities (whether war is declared or not), civil unrest, revolution, insurrection, epidemics or pandemics, government orders or laws, actions of civil or military authorities, national emergencies, strikes or other labor disputes, lock-outs, transportation delays, supply chain disruptions, power or telecommunication outages or failures, or any other circumstance beyond our reasonable control (each, a “Force Majeure Event”).

During a Force Majeure Event, our obligations under these Terms will be suspended to the extent and for the duration that they are affected by the Force Majeure Event. We will make reasonable efforts to resume performance as soon as the Force Majeure Event is resolved or no longer prevents us from performing. If a Force Majeure Event continues for an extended period (for example, longer than 30 days), either you or Parc Decor may terminate any affected Services or orders by providing written notice to the other party. In such event, any prepaid amounts for undelivered products or services will be refunded (less any amounts for services already rendered or products already delivered prior to the Force Majeure Event). Neither party will be considered in breach of these Terms to the extent that performance of their obligations is prevented by a Force Majeure Event.
